{"id":77671,"date":"2023-04-13T12:47:19","date_gmt":"2023-04-13T11:47:19","guid":{"rendered":"https:\/\/dev.adambowie.com\/blog\/?p=77671"},"modified":"2023-04-13T12:47:19","modified_gmt":"2023-04-13T11:47:19","slug":"max","status":"publish","type":"post","link":"https:\/\/dev.adambowie.com\/blog\/2023\/04\/max\/","title":{"rendered":"Max"},"content":{"rendered":"\n<p>With <em>Warner Bros Discovery (WBD)<\/em> having yesterday confirmed what everyone expected, that the new combined <em>HBO-Max\/Discovery+<\/em> streaming offer will now be called simply &#8220;<em>Max<\/em>&#8220;, I have a few questions about what true global ambitions <em>WBD <\/em>has for the service.<\/p>\n\n\n\n<p>To date, <em>HBO Max<\/em> has only been available in a relatively narrow list of countries. Having launched in the US in 2020, it expanded into Latin America and the Caribbean in 2021. Later it expanded into Spain, Portugal, most of the Nordic countries and Central and Eastern European countries in 2022.<\/p>\n\n\n\n<p>But it&#8217;s not available in the UK, and nor is it available in other major English-language markets like Australia.<\/p>\n\n\n\n<p>In the UK, the now <em>Comcast<\/em>-owned <em>Sky <\/em>has had an exclusive output deal with <em>HBO <\/em>for a number of years, and means that channels like <em>Sky Atlantic<\/em>, <em>Sky Comedy<\/em> and <em>Sky Documentaries<\/em> have been home to <em>HBO <\/em>programming in the UK. That deal has been extended a couple of times over the years, and the current output agreement runs until 2025.<\/p>\n\n\n\n<p>At that point, WBD could take back <em>HBO <\/em>programming and be in a position to launch <em><s>HBO<\/s> Max<\/em> in the UK. And I have long thought that this is the likely outcome. Indeed former WarnerMedia boss Jason Kilar said as much <a href=\"https:\/\/www.digitaltveurope.com\/2021\/03\/23\/sky-deal-behind-delayed-hbo-max-rollout-kilar-confirms\/\" data-type=\"URL\" data-id=\"https:\/\/www.digitaltveurope.com\/2021\/03\/23\/sky-deal-behind-delayed-hbo-max-rollout-kilar-confirms\/\">back in early 2021<\/a>.<\/p>\n\n\n\n<p>The <em>Sky <\/em>deal, which extends to the UK, Germany and Italy, isn&#8217;t the only output deal <em>HBO <\/em>has had. It also had a similar deal with <em>Foxtel<\/em> in Australia. <\/p>\n\n\n\n<p>The general view had been that trying to launch a new streaming service whilst you&#8217;ve licenced off your premium programming to someone else is something of a fool&#8217;s errand.<\/p>\n\n\n\n<p>Then last month, <em>Foxtel<\/em> agreed <a href=\"https:\/\/foxtelgroup.com.au\/newsroom\/foxtel-group-and-warner-bros-discovery-extend-historic-partnership-in-major-new-multi-year-agreement\" data-type=\"URL\" data-id=\"https:\/\/foxtelgroup.com.au\/newsroom\/foxtel-group-and-warner-bros-discovery-extend-historic-partnership-in-major-new-multi-year-agreement\">an extension<\/a> of this deal, in a &#8220;multi-year&#8221; agreement that allows Foxtel and its own streaming service <em>BINGE <\/em>access to a wide array of <em>WBD <\/em>programming. Indeed, it would seem to offer a broader array of programmes than <em>Sky&#8217;s <\/em>deal with <em>WBD <\/em>has including all their <em>Max Original<\/em> shows which in the UK at least, have instead been licenced to a range of <em>Sky<\/em> and non-<em>Sky<\/em> partners.<\/p>\n\n\n\n<p>This <em>Foxtel <\/em>agreement would seem to completely close the door on <em>WBD <\/em>launching <em>Max<\/em> in Australia anytime soon. <\/p>\n\n\n\n<p>Separately, <em>WBD <\/em>has <em>also<\/em> renewed a Japanese output deal it with local streamer <em>U-Next<\/em>. The existing deal had run for the last two years, and that deal was extended <a href=\"https:\/\/www.hollywoodreporter.com\/business\/business-news\/warner-bros-discovery-hbo-content-deal-japan-1235342564\/\" data-type=\"URL\" data-id=\"https:\/\/www.hollywoodreporter.com\/business\/business-news\/warner-bros-discovery-hbo-content-deal-japan-1235342564\/\">last month<\/a>.<\/p>\n\n\n\n<p>Again, you would strongly suspect that Japan is not going to see a local version of <em>Max<\/em> launching anytime soon either. <\/p>\n\n\n\n<p>So what is the plan? <\/p>\n\n\n\n<p><em>WBD <\/em>is sitting on a treasure trove of programming that remains highly regarded and strongly valued globally. Under CEO David Zaslav, who was front and centre with his plans for <em>Max<\/em> yesterday, they seem to be taking a significantly more cautious view on rolling out the service globally. <\/p>\n\n\n\n<p>You would think that the <em>Sky<\/em> deal will be the next to watch closely. Although it has around 18 months or so to run (I confess that I don&#8217;t know exactly <em>when<\/em> in 2025 it expires), losing the rights to <em>HBO<\/em> programming would be a significant hit to the value offering of the services. I would note though, that there are some co-productions between <em>Sky <\/em>and <em>HBO<\/em>, so series like <em>Chernobyl <\/em>would probably remain with <em>Sky <\/em>regardless of any deal.<\/p>\n\n\n\n<p>How the <em>Sky <\/em>deal plays out may depend at least in part on what happens with <em>WBD <\/em>itself. The <em>WarnerMedia <\/em>merger with <em>Discovery <\/em>was structured using something called a Reverse Morris Trust transaction which limited tax liability. (I&#8217;m not an expert in this area &#8211; it&#8217;s partly why I subscribe to things like <em>Puck<\/em>). But because of the way <em>WBD <\/em>came into being, it&#8217;s essentially off the table until 2024 at which time a company like <em>Comcast <\/em>might come along and be very interested in it.<\/p>\n\n\n\n<p>With <em>Comcast <\/em>already owning <em>Sky<\/em>, you could envisage a single <em>Max<\/em> offering swallowing up <em>NBC <\/em>and <em>Peacock <\/em>in the US as well as <em>Sky <\/em>in Europe. Obviously there would be some competition hurdles to overcome for this to happen since you&#8217;d potentially end up with <em>Warner Brothers <\/em>and <em>Universal Films<\/em> under the same umbrella, as well as <em>Sky News<\/em> and <em>CNN<\/em>, and <em>BT Sport\/TNT<\/em>, <em>Eurosport <\/em>and <em>Sky Sports<\/em>.<\/p>\n\n\n\n<p>And I guess we need to throw into the mix what happens with <em>Hulu<\/em> which is currently co-owned by <em>Disney<\/em> and <em>Comcast<\/em> and who&#8217;s future is much under discussion<em>.<\/em> Does <em>Disney <\/em>buy-out <em>Comcast<\/em>? Or vice versa?
